These Terms of Service govern your access to and use of the services, websites, tools, software, automations, consulting, AI systems, content, and related products provided by Blackstone Consultancy Sdn Bhd.

By using our services, signing a proposal, paying an invoice, approving a project, submitting a form, or accessing any deliverable from us, you agree to these Terms.

1. Our Services

Blackstone Consultancy Sdn Bhd provides AI, automation, technology, consulting, and digital transformation services.

Our services may include AI automation, AI chatbots, workflow automation, website development, software development, AI consulting, AI strategy, content generation systems, marketing automation, CRM automation, data processing workflows, AI agent setup, integrations, training, maintenance, and related business technology services.

The exact services, deliverables, fees, timelines, and project scope will be stated in a separate proposal, invoice, quotation, statement of work, written agreement, or written message approved by both parties.

2. Client Responsibilities

You agree to provide accurate information, timely feedback, access credentials, brand assets, data, business requirements, and any other materials reasonably needed for us to complete the services.

You are responsible for reviewing and approving all final deliverables before using them publicly or commercially.

You agree that delays in providing feedback, approvals, content, payment, platform access, or required information may delay the project timeline.

3. AI Output Disclaimer

Our services may use artificial intelligence systems, machine learning models, third-party AI tools, APIs, automation platforms, or AI-generated content.

AI outputs may be inaccurate, incomplete, biased, outdated, or unsuitable for certain uses. You are responsible for checking, reviewing, editing, and approving any AI-generated output before relying on it.

Unless clearly agreed in writing, our services do not provide legal, medical, financial, tax, investment, psychological, or other regulated professional advice. You should consult a qualified professional before using AI outputs for high-risk decisions.

4. No Guaranteed Results

We will use reasonable skill and effort to provide the services professionally. However, we do not guarantee specific business results, revenue increases, customer conversions, search engine rankings, advertising performance, platform approvals, or uninterrupted operation of third-party systems.

Any examples, case studies, forecasts, or performance estimates are for illustration only and are not guarantees.

5. Fees and Payment

Fees will be stated in the relevant proposal, quotation, invoice, or written agreement.

Unless otherwise stated, payment is due according to the invoice terms. Work may not begin until the required deposit or upfront payment is received.

Late payments may result in paused work, delayed delivery, suspension of services, or termination of the project.

You are responsible for any bank fees, payment gateway fees, taxes, platform fees, subscription costs, API usage fees, hosting fees, domain fees, or third-party software fees unless we agree otherwise in writing.

6. Deposits, Cancellations, and Refunds

Deposits are used to reserve project time, begin planning, allocate resources, and start work. Unless stated otherwise, deposits are non-refundable once work has started.

If you cancel a project, you must pay for all work completed up to the cancellation date, including research, planning, development, design, meetings, strategy, setup, and administrative work.

Refunds, if any, are at our discretion unless required by applicable law or stated in a written agreement.

7. Revisions and Scope Changes

Each project includes only the services and revisions specifically stated in the agreed scope.

Requests outside the original scope may require additional fees and timeline adjustments.

Examples of scope changes include new features, extra pages, new automations, major design changes, additional integrations, new datasets, platform migration, extra training, or changes after approval.

8. Timelines and Delivery

We will provide estimated timelines where possible. Timelines are estimates unless expressly stated as fixed deadlines in writing.

We are not responsible for delays caused by late client feedback, third-party platform issues, unavailable APIs, hosting problems, payment delays, inaccurate requirements, technical limitations, or events outside our reasonable control.

9. Third-Party Platforms and Tools

Our services may rely on third-party platforms such as AI model providers, hosting providers, domain registrars, CRM systems, email platforms, analytics tools, automation platforms, payment gateways, database providers, messaging platforms, and social media platforms.

You agree that third-party platforms may have their own terms, fees, limitations, outages, data policies, and usage restrictions.

We are not responsible for third-party service failures, price changes, account suspensions, API changes, data loss, downtime, or policy changes.

10. Data, Privacy, and Confidentiality

We may process information you provide to deliver the services. This may include business data, customer data, project files, login details, messages, documents, analytics, and other materials.

We will use reasonable measures to protect confidential information and will not intentionally disclose your confidential business information except where needed to provide the services, comply with law, use approved third-party tools, or protect our rights.

You are responsible for ensuring that any personal data you provide to us has been collected lawfully and that you have the right to share it with us for the project.

You should not send us sensitive personal data, passwords, private keys, financial account details, medical records, or confidential customer data unless it is necessary for the project and we have agreed on proper handling measures.

11. Access Credentials and Security

If you provide us with access to accounts, platforms, APIs, servers, databases, or software, you confirm that you have permission to grant that access.

You are responsible for changing passwords, rotating API keys, removing our access, and reviewing user permissions after the project ends unless ongoing support is included.

We are not responsible for security issues caused by weak passwords, shared accounts, compromised client systems, unauthorized access, outdated software, or your failure to follow security recommendations.

12. Intellectual Property

Unless otherwise agreed in writing, you retain ownership of materials you provide to us, including your logos, brand assets, business content, customer data, and pre-existing intellectual property.

After full payment is received, you will own the final custom deliverables created specifically for you, excluding our pre-existing tools, templates, systems, processes, know-how, frameworks, reusable code, internal methods, prompts, documentation structures, and third-party assets.

We may reuse general knowledge, skills, workflows, code patterns, templates, and methods developed during the project, provided we do not disclose your confidential information.

Third-party assets, software, fonts, stock media, plugins, APIs, and AI tools remain subject to their own licenses.

13. Portfolio and Marketing Use

Unless you tell us otherwise in writing, you allow us to mention your business name, logo, project summary, screenshots, and non-confidential results in our portfolio, website, proposals, case studies, and social media.

We will not disclose confidential project details, private data, or sensitive business information without permission.

14. Acceptable Use

You must not use our services or deliverables to break the law, infringe intellectual property rights, spread malware, conduct scams, impersonate others, steal data, bypass security systems, generate deceptive content, harass people, discriminate unlawfully, create illegal surveillance systems, or misuse AI tools.

You are responsible for how you use the systems, automations, content, and outputs we provide.

We may refuse, suspend, or terminate services if we believe a project creates legal, security, ethical, reputational, or safety risks.

You are responsible for ensuring that your business content, instructions, data, claims, advertisements, products, services, and use of deliverables comply with applicable laws and platform rules.

This includes laws relating to privacy, advertising, consumer protection, intellectual property, employment, financial promotions, regulated industries, and industry-specific rules.

We are not responsible for legal issues caused by your content, instructions, data, business practices, or misuse of deliverables.

16. Support and Maintenance

Support, updates, bug fixes, monitoring, hosting, training, or maintenance are only included if stated in the agreed scope.

If no maintenance plan is included, the project is considered complete after delivery, approval, or handover.

Additional support after completion may be charged separately.

17. Testing and Acceptance

You agree to test deliverables promptly after receiving them.

If you do not report issues within 14 days of delivery, the deliverables may be considered accepted.

Minor bugs or technical issues do not justify withholding full payment if the core project has been substantially delivered. We will make reasonable efforts to fix confirmed issues within the agreed scope.

18. Limitation of Liability

To the maximum extent allowed by law, Blackstone Consultancy Sdn Bhd will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or loss caused by third-party services.

To the maximum extent allowed by law, our total liability for any claim related to the services is limited to the amount you paid us for the specific service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnity

You agree to defend, indemnify, and hold Blackstone Consultancy Sdn Bhd harmless from claims, losses, damages, liabilities, costs, and expenses arising from your content, your data, your instructions, your breach of these Terms, your violation of law, your misuse of deliverables, or your infringement of third-party rights.

20. Termination

Either party may terminate a project or service if the other party materially breaches these Terms and does not fix the breach within a reasonable time after written notice.

We may immediately suspend or terminate services if payment is overdue, if you misuse our services, if you request unlawful or harmful work, or if continuing the project creates unacceptable legal, security, ethical, or commercial risk.

Termination does not remove your obligation to pay for work completed, costs incurred, or fees already due.

21. Force Majeure

We are not responsible for delays or failure to perform caused by events outside our reasonable control, including internet outages, platform failures, natural disasters, war, strikes, illness, government action, power failures, cyberattacks, third-party API outages, or other unexpected disruptions.

22. Changes to These Terms

We may update these Terms from time to time. The updated version will apply from the effective date stated on the updated Terms.

For active paid projects, the version in effect at the time of agreement will apply unless both parties agree otherwise or the update is required by law.

23. Governing Law and Disputes

These Terms are governed by the laws of Malaysia, unless another jurisdiction is stated in a signed written agreement.

The parties will first try to resolve disputes through good-faith discussion. If the dispute cannot be resolved, it may be referred to the courts or dispute resolution process stated in the relevant agreement.
